Terms & Conditions

1. Acceptance
By accessing www.seedientdigital.com or engaging our Services, you (“Client,” “you”) agree to these Terms & Conditions (“Terms”). If you do not accept, please do not use the Site or Services.
2. Services & Deliverables
Seedient provides subscription packages (Seed, Tree, Big Forest, or custom) covering PPC, SEO, socialmedia, design, web dev, video, automation, and related consulting. Specific deliverables, hours, and timelines are detailed in each Statement of Work (SOW) or order form.
3. Fees & Payment
- Pricing is stated in U.S. dollars unless otherwise noted.
- 100 % of package fees are due upfront for the agreed term (monthly, 3month, or 6month), payable via Stripe, ACH, Bank Transfer or wire transfer.
- Late payments accrue no interest per month. We may pause work for accounts overdue by 3 days.
- Except as required by law or stated on our Term & Termination clause, fees are nonrefundable.
4. Client Responsibilities
You agree to:
- Provide timely access to required assets, logins, and approvals
- Review and approve deliverables within five (5) business days
- Maintain valid payment information
- Refrain from unlawful content or infringing materials
5. Intellectual Property
All original materials Seedient creates under an active, fullypaid contract become your property upon final payment, except for:
- Preexisting Seedient templates, code, or SOPs (licensed, not sold)
- Thirdparty stock assets subject to their own license terms
6. Confidentiality
Both parties agree to keep confidential all nonpublic information (client data, strategies, pricing) disclosed during the engagement, for five (5) years after termination.
7. Disclaimer of Warranties
Services are provided “as is.” Seedient does not guarantee specific rankings, ad ROAS, or revenue increases. Performance depends on multiple factors outside our control (market conditions, budgets, platforms).
8. Limitation of Liability
To the fullest extent permitted by law, Seedient’s total liability (contract, tort, or otherwise) is limited to the amount you paid us in the three (3) months preceding the claim. We are not liable for consequential or indirect damages (lost profits, data, goodwill).
9. Term & Termination
- 1. Month-to-Month Engagements
Either party may terminate at any time with 3 days written notice (e.g., email or Slack). No refunds are issued for month-to-month plans once the package is billed.
- 3-Month “Tree” Package:
Clients enrolled in the 3-month prepaid “Tree” plan agree to a minimum 2-month commitment that the 2 months are non-refundable.
If the client chooses to terminate the agreement after the second month, a refund will be issued for Month 3 with 15 days written notice less a 5 % administrative fee and excluding thirdparty costs based on the valid cause & related to our performance as well as remaining unused hours calculated at the agreed monthly rate based on the selected package. Refunds will not include any onboarding, strategy, or campaign setup work completed during the engagement. The request should clearly articulate the reason for requesting a refund and include any relevant details supporting the claim. No refunds will be provided for services already rendered.
- 6-Month “Big Forest” Package:
Clients enrolled in the 6-month prepaid “Big Forest” plan agree to a minimum 4-month commitment. The first four months are strictly non-refundable.
If the client terminates after Month 4, Seedient will consider refunding the remaining balance for Months 5, and 6, with 15 days written notice less a 5 % administrative fee and excluding thirdparty costs based on the valid cause & related to our performance as well as remaining unused hours calculated at the agreed monthly rate based on the selected package. Refunds will not include any onboarding, strategy, or campaign setup work completed during the engagement. The request should clearly articulate the reason for requesting a refund and include any relevant details supporting the claim. No refunds will be provided for services already rendered.
- Cancellation by Client: If a client chooses to cancel a project without valid cause or unrelated to our deliverables & performance, a refund may not be granted.
- Cancellation by Us: In rare instances where we are unable to fulfill our obligations due to unforeseen circumstances, we will notify the client promptly and provide a full refund for any prepaid services.
- Immediate Termination:
Seedient reserves the right to terminate the agreement immediately in cases of:- Non-payment or delayed payments beyond 3 days
- Material breach of terms by the client
- Abuse of Seedient’s services, systems, or staff
Refund Processing:
All eligible refunds, if applicable, client will request for refund based on package details mentioned above. We will review your request and assess the situation to determine the appropriate refund amount. Refunds will be processed within 15 business days of request approval and will be subject to verification of unused service hours. The request should clearly articulate the reason for requesting a refund and include any relevant details supporting the claim.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, USA, without regard to conflicts principles. Any dispute shall first be mediated in good faith. The parties agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the breach thereof, or any Services provided by Seedient shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
The parties agree that arbitration shall be the exclusive means of resolving any dispute, and waive their right to bring any claims in court or to a jury, except for the purpose of enforcing the arbitrator’s decision or seeking injunctive relief.
11. Chargebacks:
We strongly discourage the use of chargebacks as a means of resolving billing disputes. If a chargeback is initiated against us, we reserve the right to suspend services and withhold project deliverables until the dispute is resolved. We encourage clients to communicate directly with us to address any billing concerns and find an amicable solution. Chargebacks in context to no valid reason of terminating the contract shall be void without any relevant details supporting the claim.
12. Jurisdictional Variations
While this Policy aims to comply with the laws of the USA, Canada, and the UK, specific regulations governing refunds may vary by jurisdiction. If any provision of this Policy is deemed unenforceable under the law of the client’s jurisdiction, such provision shall be disregarded, and the remaining provisions shall remain in effect.
11. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control (e.g., natural disasters, platform outages, government actions).
12. Modifications
We may update these Terms for legal or operational reasons. Continued use of the Site or Services after changes constitutes acceptance.
13. Entire Agreement
These Terms, together with any SOW, NDA, or order form, constitute the entire agreement and supersede all prior proposals or understandings.
