SeedHub Terms of Service

The Usage Policy Adheres To How You Use Our Platform "SeedHub CRM"

Services Provided

  • SeedHub CRM includes:
  • Access to SeedHub CRM platform.
  • CRM features such as AI automation, funnels, chatbots, voice AI, reviews AI, and more.
  • Optional support hours and digital marketing white-label services (“Support Services”) if purchased separately.

Subscription & Billing

  • Monthly Billing: All subscriptions are billed on a recurring monthly basis by default.
  • Yearly Billing: Clients may request a 12-month billing cycle for SeedHub CRM + Support/Services with cost savings.
  • Payment Methods: Payments must be made via approved payment methods (credit card, ACH, or as otherwise agreed).
  • Failure to Pay: Failure to pay invoices on time may result in suspension or termination of services.

Refund Policy

  • SeedHub CRM Subscription: All CRM subscription fees are non-refundable.
  • Support & White-label Services: Hours purchased are non-refundable once used. Unused hours may be partially refunded only under special circumstances, determined at our discretion. Refunds are not guaranteed.
  • No Rollover Policy: Unused hours do not roll over to the next billing cycle unless otherwise specified in writing.

Support & Communication

We provide support through:

  • Slack (dedicated workspace channels).
  • Email Support (response within 24hours).
  • Zoom Support (for scheduled strategy calls and onboarding).

Support hours are counted as part of your purchased service package, unless specified otherwise.

Use of Services

  • Clients are responsible for all activity within their SeedHub CRM accounts.
  • Accounts may not be used for illegal activities, spam, or activities violating advertising guidelines.
  • White-label service hours may be used for approved tasks such as ads management, SEO, content creation, CRM setup, and other agreed services.

Data & Privacy

  • Client data is stored securely within SeedHub CRM’s infrastructure.
  • We do not sell or share client data with third parties outside of service delivery.

A separate Privacy Policy may govern data handling in more detail.

Intellectual Property

  • Seedient retains ownership of SeedHub CRM platform, branding, and proprietary processes.
  • Clients retain ownership of their own data, creative assets, and content uploaded to SeedHub CRM.

Limitation of Liability

  • Seedient is not liable for indirect damages, lost profits, or client mismanagement of leads, ads, or CRM use.
  • Total liability is limited to the fees paid by the client for the last three (3) months of service.

Termination & Cancellation

  • Clients may cancel SeedHub CRM at any time with written notice before the next billing cycle.
  • Early termination does not entitle clients to refunds for CRM subscriptions.
  • We reserve the right to terminate accounts for non-payment or violation of these Terms.

Long-Term & Flexible Contracts

  • Clients may start with monthly contracts and later upgrade to 8 or 12-month agreements with flexible pricing.
  • Discounts and benefits may apply to long-term contracts, as specified during onboarding or account review.

Governing Law

These Terms of Service are governed by the laws of the State of Texas, USA, without regard to conflict of law provisions.

User Representations

By using SeedHub CRM, you represent and warrant that:

  • You are at least 18 years of age and have the legal authority to enter into this agreement.
  • All registration information you provide is truthful, accurate, and up to date.
  • You will maintain the accuracy of your account information at all times.
  • You will not use the platform for any illegal or unauthorized purpose.
  • Your use of the Services will not violate any applicable laws or regulations.

Failure to uphold these representations may result in suspension or termination of your account.

Dispute Resolution

  • Good Faith Negotiations: In the event of a dispute, both parties agree to attempt resolution through good faith discussions before escalating.
  • Binding Arbitration: If a resolution cannot be reached, disputes shall be settled by binding arbitration in Texas, USA, under the rules of the American Arbitration Association (AAA).
  • Class Action Waiver: Clients agree not to participate in any class action claims against Seedient Digital Marketing LLC.

Jurisdiction: Any disputes not subject to arbitration will be handled in the state and federal courts located in Texas, USA.

Modifications and Interruptions

  • We reserve the right to modify, suspend, or discontinue any aspect of SeedHub CRM at any time without prior notice.
  • We are not liable for any downtime, outages, or interruptions caused by technical issues, maintenance, third-party providers, or events outside our control (e.g., force majeure).
  • Clients are encouraged to maintain backup copies of their data.

Corrections

We reserve the right to correct any typographical errors, inaccuracies, or omissions in pricing, service descriptions, or other documentation, whether or not the order has been confirmed. Such corrections will not constitute grounds for cancellation or refund.

Intellectual Property Rights

  • All intellectual property associated with SeedHub CRM, including but not limited to software, features, logos, and branding, remains the sole property of Seedient Digital Marketing LLC.
  • Clients may not reproduce, copy, distribute, or create derivative works from SeedHub CRM without prior written consent.
  • Clients retain rights to their own data, creative content, and marketing materials uploaded to the platform.

Disclaimer

SeedHub CRM and associated services are provided on an “as is” and “as available” basis.

  • We make no warranties or guarantees regarding uptime, results, or performance of the CRM or marketing services.
  • We disclaim all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
  • Results from ads, SEO, funnels, or other services may vary depending on industry, competition, and client execution.

Limitation of Liability

To the maximum extent permitted by law:

  • Seedient Digital Marketing LLC shall not be liable for indirect, incidental, special, or consequential damages, including loss of revenue, profits, or data.
  • Our total liability under these Terms is limited to the fees paid by the client during the three (3) months immediately preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Seedient Digital Marketing LLC, its affiliates, officers, employees, and contractors from any claims, damages, liabilities, or expenses arising out of:

  • Your misuse of SeedHub CRM.
  • Violation of these Terms.
  • Infringement of third-party rights (including intellectual property and data privacy).

Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, represent the entire agreement between you and Seedient.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
  • No Waiver: Failure to enforce any part of these Terms does not constitute a waiver of our rights.
  • Assignment: Clients may not assign these Terms without our prior written consent. We may assign our rights and obligations to affiliates or successors without restriction.
  • Headings: Section headings are for convenience only and shall not affect interpretation.
